Terms of Service

1. Agreement to These Terms

These Terms of Service (“Terms”) govern your access to and use of Stadia, available at app.stadia.fit and through related applications (the “Service”). By creating an account or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

2. The Service

Stadia is an AI-powered fitness planning assistant that generates periodized training plans, tracks workouts, and synthesizes data from connected fitness and recovery services. The Service is provided for general fitness and informational purposes only.

3. Not Medical Advice; Assumption of Risk

The Service is not a substitute for professional medical, health, fitness, or nutrition advice, diagnosis, or treatment. Training plans and coaching output are generated by software, including large language models, based on the information you provide and general periodization principles. They are not personalized medical recommendations and do not account for individual medical conditions, injuries, or contraindications.

Before beginning or modifying any exercise program, you should consult a qualified healthcare provider, especially if you have a medical condition, are pregnant, are recovering from an injury, or are taking medication. Stop exercising immediately if you experience pain, dizziness, shortness of breath, chest discomfort, or any other symptom that feels abnormal, and seek medical attention.

Physical exercise carries inherent risks, including but not limited to injury, illness, and, in rare cases, death. By using the Service, you acknowledge and voluntarily assume these risks, and you agree that you are solely responsible for your physical safety and for evaluating the appropriateness of any training plan or workout suggested by the Service.

4. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. If you are a minor but at least 13 years old, you may only use the Service with the verified consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf. The Service is not intended for children under 13.

5. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

  • Provide accurate and current information.
  • Keep your password secure and not share it with others.
  • Notify us promptly at sean@stadia.fit of any unauthorized use of your account.

6. Acceptable Use

You agree not to:

  • Use the Service in violation of any law or regulation.
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service, except as permitted by applicable law.
  • Interfere with or disrupt the Service, introduce malware, or attempt to gain unauthorized access to any account, system, or network.
  • Scrape, harvest, or collect information from the Service except through features we expressly provide.
  • Use the Service to generate content that is unlawful, harassing, defamatory, fraudulent, or that infringes the rights of others.
  • Resell, sublicense, or commercially exploit the Service without our prior written consent.
  • Use the Service to provide medical, clinical, or professional health advice to third parties.

7. Third-Party Services

The Service integrates with third-party platforms (including, without limitation, Garmin Connect, Strava, Oura, Anthropic, OpenAI, Notion, and SendGrid). When you connect or otherwise use one of these services, their terms and privacy policies apply in addition to ours. We are not responsible for the availability, accuracy, or practices of any third-party service, and any issue arising out of a third-party service is between you and that provider.

8. AI-Generated Content

The Service uses large language models to generate plans, suggestions, analyses, and chat responses. AI output can be inaccurate, incomplete, or inappropriate for your situation. You are responsible for evaluating any AI-generated content before acting on it. We make no warranties about the accuracy, reliability, or suitability of AI-generated output.

9. Your Content

You retain ownership of the content you submit to the Service, including messages, workouts, notes, and connected-service data (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and otherwise use Your Content solely as necessary to operate, secure, and improve the Service and to provide it to you. We will not use Your Content for advertising or sell it to third parties.

You represent and warrant that you have all rights necessary to submit Your Content and that it does not violate any law or the rights of any third party.

10. Intellectual Property

The Service, including its software, design, text, graphics, and logos (but excluding Your Content), is owned by us or our licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use.

11. Feedback

If you provide us with feedback or suggestions about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

12. Termination

You may stop using the Service at any time and request account deletion at sean@stadia.fit. We may suspend or terminate your access, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to use the Service ends immediately. The sections of these Terms that by their nature should survive termination will survive.

13. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY INFORMATION IT PROVIDES IS ACCURATE, COMPLETE, OR APPROPRIATE FOR YOUR NEEDS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE, OUR AFFILIATES, OR OUR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100.00). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

15. Indemnification

You agree to indemnify, defend, and hold harmless Stadia, its operators, and their affiliates from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Service, Your Content, or your violation of these Terms or any law or rights of a third party.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to their personal jurisdiction and venue. Nothing in these Terms prevents either party from seeking injunctive relief in any court of competent jurisdiction.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email before the changes take effect. Your continued use of the Service after an update constitutes acceptance of the revised Terms.

18. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is held invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them without restriction.
